Opening a company and setting up in Romania?

As an investor who wants to open a company in Romania in 2024 - 2025, at first you should know the process of setting up a new enterprise and the steps you need to follow.

There are 6 steps that are mandatory to follow:

1.Get your reservation of company name – form found at Trade Registry, you need to fill in 3 names in order of your preferences and the process takes about an hour. The issued name reservation certificate is valid for 2 months.

The long-awaited intervention DR-12, one of the novelties brought by the National Strategic Plan 2023-2027, will be launched this year! Create a  micro-enterprise in Romania and pay 1% taxes in 2024

The micro-enterprise tax is computed as follows:

If, by the deadline of April 15, 2024, you have decided that you qualify for the application of the micro-enterprise taxation regime, and that you still opt for this regime, because:

The company is the only one that applies this regime among all Romanian legal entities in which an associate/shareholder holds, directly or indirectly, more than 25% of the value/number of participation titles or voting rights and was established by the associates/shareholders to apply tax on the income of micro-enterprises;

The procedure regarding the exemption from income tax for IT employees&employer  was modified by Order of the Ministry of Finance no. 835/2015 which replaces the old legal framework (MFP Order no. 1479/2013 – repealed).
